Mr. Raymond S. Troubh is an Independent Director of General American Investors Company, Inc. In addition to his tenure since 1989 as Director of the Company, Mr. Troubh is a financial consultant and served as a member of the Board of Directors of Diamond Offshore Drilling, Inc. until May 2018. Until February 2015, he served as a member of the Board of Directors of Gentiva Health Services, Inc. and until 2014, he served as a member of the Board of Directors of The Wendys Company. Mr. Troubh is a former Governor of the American Stock Exchange and a former General Partner of Lazard Freres Co., an investment banking firm. During the course of his career, Mr. Troubh has served as a director of over 30 public companies of varying degrees of size and complexity and has served as chairman of the compensation and audit committees of many of those companies. Mr. Troubh has extensive experience in public company regulatory and corporate governance matters. In November 2001 he was called upon to be a member of the Board of Directors at Enron, eventually becoming its nonexecutive Chairman, and to serve as one of three members of the Board of Directors to investigate corporate misconduct at that company

Elected by the shareholders, the General American's board of directors comprises two types of representatives: General American inside directors who are chosen from within the company, and outside directors, selected externally and held independent of General. The board's role is to monitor General American's management team and ensure that shareholders' interests are well served. General American's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, General American's outside directors are responsible for providing unbiased perspectives on the board's policies.
