Mr. Matthew F.C. Miau is Chairman Emeritus of Synnex Corporation since December 1, 2008. he has served as a director since 1992 and served as the chairman of our Board from 1992 to 2008. Mr. Miau assumed the position of Chairman Emeritus of the Board in December 2008. He is on the Board of Directors of MiTAC Holdings Corporationrationration, Synnex Technology International Corporationration, UPC Technology Corporationration, Lien Hwa Industrial Corporationration and Getac Technology Corporationrationration. These directorships are all MiTAC group related, and Mr. Miau was a significant investor in each of these entities. He also serves on the boards of Winbond Electronics and Cathay Financial Holdings. Regarding board committees, he serves as a member of the audit and compensation committees of Cathay Financial Holdings, which does not trade in the US. With the exception of SYNNEX, the aforementioned companies for which Mr. Miau serves as a director are all located in Taiwan, and only Synnex Technology International and Cathay Financial Holdings have an annual financial scope within the range of SYNNEX. SYNNEX is the only company for which Mr. Miau serves as a director that is USpublicly traded or that is subject to the periodic reporting requirements of the SEC. Our Board has reviewed Mr. Miaus past Board service and his unique position as a longterm and significant shareholder and has considered the level of time commitment required by Mr. Miaus other public company boards. since 2008.
