Mr. Guanglin Lai, CPA, is Executive Chairman of the Board of Agria Corporationrationration. He has also served as chairman of our compensation committee since March 2010. Mr. Lai also served as our cochief executive officer from September 2007 to June 2008 and as our chief executive officer from November 2008 to September 2009. Mr. Lais whollyowned investment vehicle, Brothers Capital Limited, is our largest shareholder. Mr. Lai has extensive experience in investments, acquisitions and operation management. Mr. Lai has established many other enterprises in China, Hong Kong and internationally, in particular, animation, logistics and transportation, pharmaceutical sectors, etc. He takes a leading role in respect of strategic planning and business development in his investment portfolio. Mr. Lai is the chairman and executive director of the board of directors, the chairman and a member of nomination committee and a member of remuneration committee of China Pipe Group Limited, a Hong Kong listed company, which is a leading provider to the construction sector offering a wide range of pipe related products, services and solutions to the constructors, designers, consultants and government agencies in Hong Kong and Macau. In December 2009, Mr. Lai was appointed as a director of PGW since 2013.

Agria Leadership Team
Elected by the shareholders, the Agria's board of directors comprises two types of representatives: Agria inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Agria. The board's role is to monitor Agria's management team and ensure that shareholders' interests are well served. Agria's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, Agria's outside directors are responsible for providing unbiased perspectives on the board's policies.
